Corporate Governance

The board of directors is responsible for the following corporate governance policies of the Company. Management believes these initiatives comply with the Sarbanes-Oxley Act of 2002 and the rules and regulations of the SEC adopted thereunder. In addition, management believes the Company’s corporate governance initiatives comply with the rules of the OTC PINK Market. The board of directors will continue to evaluate, and improve upon as appropriate, the corporate governance principles and policies.

Additionally, the board of directors adopts codes of business conduct and ethics that apply to all our directors, officers and employees. The codes address various topics, including:

Board Committee

The Company has established an audit committee, a compensation committee, and a corporate governance committee. Management believes that the composition of these committees meet the criteria for independence under, and the functioning of these committees comply with the requirements of, the Sarbanes-Oxley Act, the OTC PINK Market (including applicable phase-in provision) and applicable SEC rules and regulations.

Audit Committee

Our audit committee is authorized to approve and retain the independent auditors to conduct the annual audit of our financial statements; review the proposed scope and results of the audit; review and pre-approve audit and non-audit fees and services; review accounting and financial controls with the independent auditors and our financial and accounting staff; review and approve transactions between us and our directors, officers and affiliates; recognize and prevent prohibited non-audit services; and establish procedures for complaints received by us regarding accounting matters; oversee internal audit functions, if any.

Corporate Governance Committee

The functions of our Governance Committee, among other things, include identifying individuals qualified to become board members and recommending directors; nominees and board members for committee membership; developing and recommending to our board corporate governance guidelines; review and determine the compensation arrangements for directors; and overseeing the evaluation of our board of directors and its committees and management.

Management

Matt Williams

Serves as President of KwikClick since September 2021. Prior to KwikClick, Mr. Williams served as president of Pro Star Logistics, Inc. which he co-founded in 2007. In 2017 Pro Star Logistics had reached over $90 million in annual revenue with more than 300 employees and merged with Visible Supply Chain Management. Following the merger, Mr. Williams led Pro Star Logistics, business unit to a doubling of profitability. In 2019, Visible agreed to purchase Mr. Williams’ ownership interest and Mr. Williams transitioned to a consultative role supporting the Visible team through 2020.
Mr. Williams serves in various philanthropic and professional roles including serving on the Advisory Board for School of Business at Weber State University, serving on the Board of Directors for TribeHouse (a professional networking company), and activity supporting investments in various venture funds. He holds a degree from Weber State University in Logistics and Operations Management. In 2013 Mr. Williams was named by Utah Business Magazine as one of their “40 under 40” business leadership award recipients. Mr. Williams is qualified to serve on the board of directors because of his significant experience with growing companies and public companies.

Jeffrey Yates

Serves as Chief Financial Officer. With a strong track record for achievement, leadership experience in financial management, strategic planning and business development. Extensive experience in accounting, forecasting, cash flow management, treasury, budgeting, financial and operational analysis, reporting and compliance. Proven leadership capabilities in executive management, operations, information systems and project management. Mr. Yates served as Chief Financial Officer for ARIIX from May 2011 – July 2021 and previously served as Chief Financial Officer for Usana Health Sciences from June 2008 – May 2011. He is a member of the American Institute of Certified Public Accountants and Utah Association of Certified Public Accountants. Jeffrey attended Brigham Young University where he studied and received his Master of Accountancy and Bachelor of Science with an emphasis in Business Management and Management Accounting in December of 1989.

Brady Cooper

Mr. Cooper as Vice President of Kwik responsibilities include managing the entire product design for the users, brands and influencers which included the development of specialized software and technology for the Company’s product. Brady manages the internal flow of information between our engineers, developers, and designers including being very involved in finalizing the product offerings and the development of the mobile app.
Mr. Cooper attended Utah State University, Jon M. Huntsman School of Business, where he studied business management and information systems. When Mr. Cooper is not working, he enjoys hiking and camping, snowboarding, wake surfing, and technology. For the last 5 years Mr. Cooper had employment experience ranging from building custom computers, warehouse work and IT Business Analyst. At a young age Mr. Cooper created his first business involving computers, technology, software and the internet. As an entrepreneur, Mr. Cooper realized the value of technology and software and that it could make people’s lives better. His peers have considered Mr. Cooper a “Tech Geek”, being a geek was in Mr. Coopers DNA since he was a little boy, some would even say that he’s a Prodigy in the technology world.

Board of Directors

David Hunt

Serves as an Independent Director and serves as Chairman of the board. For at least the past 20 years, Mr. Hunt has been a business lawyer in private practice. Mr. Hunt regularly serves as a business advisor and angel investor to developing companies. Mr. Hunt has advised numerous developing companies in all stages of development and has been involved with hundreds of private offerings for enterprises ranging from start-ups to exchange traded companies. Mr. Hunt has also been involved with a number of public securities offerings. Despite his transaction focus, Mr. Hunt has continued to selectively litigate contract and securities related cases throughout his career. He has worked on cases and represented parties in matters across the United States, including those before the Delaware Court of Chancery, U.S. Securities and Exchange Commission, the Public Company Accounting Oversight Board, and a number of state and Federal courts throughout the U.S. For nearly a decade, Mr. Hunt was a regular participant in the Securities and Exchange Commission’s annual Government-Business Forum on Small Business Capital Formation in Washington, D.C. Mr. Hunt was a governance fellow of the National Association of Corporate Directors and remains an active member of the organization. Mr. Hunt is involved in a number of charitable and non-profit organizations. Mr. Hunt holds a JD from California Western School of Law in San Diego. Mr. Hunt attended Brigham Young University for two years before transferring to the University of Utah where he earned his bachelor’s degree. Mr. Hunt is a former university lacrosse player and university lacrosse head coach and continues to play competitive lacrosse. Mr. Hunt is qualified to serve on the board of directors because of his significant experience with growing companies, public companies and corporate governance.

Robert Green

Serves as an Independent Director for Kwik. Since 2015, Mr. Green has worked for Prentice Worx, responsible for corporate sales. Prior to that, he worked as an Account Manager for Hewlett Packard for 5 years. Mr. Green attended Utah State University where he majored in Business/Agriculture. Mr. Green is qualified to serve on the board of directors because of his significant experience with growing companies and corporate governance.

Brady Cooper

For the last 5 years Mr. Cooper had employment experience ranging from building custom computers, warehouse work and IT Business Analyst. At a young age Mr. Cooper created his first business involving computers, technology, software and the internet. As an entrepreneur, Mr. Cooper realized the value of technology and software and that it could make people’s lives better. His peers have considered Mr. Cooper a “Tech Geek”, being a geek was in Mr. Coopers DNA since he was a little boy, some would even say that he’s a Prodigy in the technology world. Dan Shaw

Serves as an Independent Director and Head of the Compensation Committee for Kwik. Mr. Shaw has been a self-employed entrepreneur and investor for the past 30 years. For the past 5 years, Mr. Shaw’s primary focus and revenue sources has been Impact Payment Systems, an on-line variable payment installment loan lender that Mr. Shaw was involved in acquiring nearly a decade ago through Integra Financial Service, an entity substantially owned and controlled by Mr. Shaw. Mr. Shaw has been recognized as the National Outstanding Citizen for his leadership in the parks and recreation Industry. He currently serves as the President and CEO of the Day of ‘47 Rodeo, a charitable organization. A former coach for the Junior Olympic Ski Team in Park City, Utah, Mr. Shaw began competitive snow skiing at a young age and is still and active participant in the sport. Mr. Shaw is qualified to serve on the board of directors because of his significant business development and management experience.

Jeff Roberts

Serves as an Independent Director and Head of the Audit Committee for Kwik. Since April 2016, Mr. Roberts has served as the Executive Vice President and Chief Financial Officer of Savage Services Corporation, a provider of a broad portfolio of services to move and manage critical materials through the US and the world. Prior to joining Savage, Mr. Roberts served as CFO of Maxum Enterprises, an integrated marine and land-based chemicals, petroleum, and lubricants supply company. In that role, he led the company’s Risk, Business Development, Corporate Finance, IT, Credit, Tax, Treasury, Collections, and accounting teams and served for seven months as interim President. Jeff previously was the Controller and Retail Division CFO at Flying J and worked in auditing positions with PRG Schultz and Ernst and Young. Originally from Pocatello, Idaho, Jeff earned a bachelor’s degree in accounting at Utah State University and a master’s degree in professional accountancy from Weber State University. He is a licensed Certified Public Accountant (CPA) in the State of Utah. Mr. Roberts is qualified to serve on the board of directors because of his significant financial and managerial experience with growing and large enterprises.
