1. About These Terms

This website, kwik.com (the “Site”), is owned and operated by Kwikclick LLC, a Utah limited liability company (“Kwikclick,” “Kwik.com,” “we,” “us,” or “our”). Kwik.com is the consumer-facing brand under which Kwikclick LLC operates its SMS Promotions Program and related services.

These Terms of Service (the “Terms”), together with our Privacy Policy (https://kwik.com/privacy-policy-kwik/), govern your access to and use of the Site, our SMS Promotions Program, and any related services we provide (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Who We Are and What We Do

Kwikclick LLC operates an SMS Promotions Program (the “Program”) that delivers promotional text messages, sweepstakes and giveaway entry opportunities, exclusive discount codes, and related communications to consumers who have opted in to receive them. The Program features participating merchants (“Participating Merchants”) who partner with Kwikclick to offer promotions to their customers.

Participating Merchants are independent third-party businesses. Kwikclick LLC is the sole sender of all SMS messages sent through the Program and is responsible for the content of those messages. Any goods or services offered by a Participating Merchant are sold by that Participating Merchant directly, not by Kwikclick LLC.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. Accounts

If the Services require you to create an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use of your account.

5. SMS/Text Messaging Terms

If you opt in to receive SMS messages from Kwik.com, you agree to these SMS Terms in addition to the rest of these Terms and our Privacy Policy.

5.1 Consent

You may opt in to receive SMS messages from Kwik.com in connection with a Participating Merchant by submitting your mobile phone number through an electronic opt-in form on a Participating Merchant’s website (such as a pop-up form offering sweepstakes entries) and affirmatively checking two separate, unchecked-by-default checkboxes: (1) an SMS consent checkbox that discloses Kwik.com (operated by Kwikclick LLC) as the sender, the types of messages you will receive, the expected message frequency, that message and data rates may apply, and that you can reply STOP to cancel or HELP for help; and (2) a separate acknowledgment that you have read and agree to Kwik.com’s Terms of Service and Privacy Policy and to the Participating Merchant’s Terms and Privacy Policy.

By opting in, you expressly consent to receive recurring automated promotional and transactional text messages from Kwik.com (operated by Kwikclick LLC) at the mobile number provided. Consent is not a condition of any purchase or of entry into any sweepstakes. A free alternative method of entry (AMOE) is provided for each sweepstakes so that entry does not require SMS opt-in.

5.2 Types of Messages

Messages may include promotional offers, exclusive discount codes, sweepstakes and giveaway entry opportunities, customer service responses, and other communications related to the Participating Merchant in connection with which you opted in.

5.3 Message Frequency

Message frequency varies. You may receive recurring messages.

5.4 Message and Data Rates

Message and data rates may apply. Kwik.com does not charge for SMS messages, but your mobile carrier may charge for sending or receiving text messages based on your plan.

5.5 Opt-Out

You may opt out at any time by replying STOP to any message. After you send STOP, we will send a single confirmation message and will not send you any additional SMS messages unless you opt back in. To opt back in, reply START or sign up again through the opt-in method described above. For help, reply HELP or email hello@kwik.com.

5.6 Supported Carriers

Our SMS Program is available on most major U.S. wireless carriers, including AT&T, T-Mobile, Verizon Wireless, Sprint, U.S. Cellular, Boost Mobile, MetroPCS, Cricket, and others. Carriers are not liable for delayed or undelivered messages.

5.7 Privacy

Information collected through our SMS Program is handled in accordance with our Privacy Policy (https://kwik.com/privacy-policy-kwik/). No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

6. Sweepstakes, Giveaways, and Promotions

From time to time, we and our Participating Merchants offer sweepstakes, giveaways, and promotions (each, a “Promotion”) through the Program. Each Promotion is governed by its own Official Rules, which describe eligibility, entry methods (including a free alternative method of entry), prize details, maximum entries per person, odds of winning, and other terms specific to that Promotion. To the extent there is any conflict between these Terms and the Official Rules of a Promotion, the Official Rules govern with respect to that Promotion.

You are responsible for reviewing the Official Rules of any Promotion before entering. Void where prohibited by law.

7. Relationship with Participating Merchants

Participating Merchants are independent third-party businesses. Kwikclick LLC is not the seller of any goods or services offered by Participating Merchants. Any purchase you make from a Participating Merchant is a transaction directly between you and that Participating Merchant, and is subject to the Participating Merchant’s own terms of service, privacy policy, return policy, and other applicable policies.

We are not responsible for the goods, services, content, conduct, policies, or practices of any Participating Merchant. Complaints, claims, concerns, or questions regarding a Participating Merchant’s products or services should be directed to the Participating Merchant.

8. Intellectual Property

The Site and the Services, including all text, graphics, logos, images, software, and other content, are owned by Kwikclick LLC or our licensors and are protected by United States and international intellectual property laws. “Kwik,” “Kwik.com,” and the Kwik.com logo are trademarks of Kwikclick LLC. You may not use our trademarks without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Services without our prior written consent.

9. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Provide a mobile phone number that is not yours or that you are not authorized to provide;
Interfere with or disrupt the Services or servers or networks connected to the Services;
Attempt to gain unauthorized access to any part of the Services, other accounts, or any connected systems or networks;
Use any robot, spider, scraper, AI agent, or other automated means to access the Services without our express written permission;
Reverse engineer, decompile, or disassemble any part of the Services.

We reserve the right to suspend or terminate your access to the Services at any time, without notice, if we determine that you have violated these Terms.

10. Third-Party Links and Content

The Services may contain links to third-party websites, including Participating Merchants’ websites. We are not responsible for the content, policies, or practices of any third-party website. Your access to and use of third-party websites is at your own risk and subject to the terms and policies of those websites.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICES.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KWIKCLICK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Kwikclick LLC and its officers, directors, employees, affiliates, agents, and service providers from any losses, damages, liabilities, claims, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of any law or the rights of any third party.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts located in Davis County, Utah, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the “Last updated” date. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the changes.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any Official Rules applicable to a Promotion you participate in, constitute the entire agreement between you and Kwikclick LLC regarding the Services and supersede all prior agreements and understandings.
